Agreement to Terms

By accessing ThinkShiftLead.com or purchasing any products or services from Think Shift Lead™, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our website or purchase our products.

These Terms constitute a legally binding agreement between you and Whitney Stout, doing business as Think Shift Lead™ ("we," "our," or "us"), a sole proprietorship operating in West Virginia.

Description of Services

Think Shift Lead™ provides:

Educational courses on change communication, including the DANCE System™ methodology
Digital course materials, templates, and frameworks
Email newsletters and educational content
Diagnostic quizzes and assessments

All products and services are digital and delivered electronically.

Our courses are self-directed learning experiences. We do not provide:

One-on-one coaching or support calls
Email Q&A or personalized implementation guidance
Community forums, Facebook groups, or Slack channels
Live training sessions, group calls, or office hours
Personalized feedback or review of your work

You are purchasing access to educational content and materials for independent study and application.

Eligibility

You must be at least 18 years old to purchase products or services from us. By making a purchase, you represent that you are of legal age and have the authority to enter into this agreement.

If you are under 18, you may use our services only with the involvement and consent of a parent or legal guardian.

Account and Access

Course Access

Upon purchase, you will receive access credentials to our course platform (Roguepreneur). You are responsible for:

Maintaining the confidentiality of your login credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access

You may not share your account credentials or course access with others. Accounts are for individual use only.

Account Termination

We reserve the right to suspend or terminate your access if you violate these Terms, including but not limited to:

Sharing course materials or login credentials
Using automated systems to scrape or copy content
Engaging in fraudulent activity or misrepresenting yourself
Harassing or abusing our staff or service providers

Intellectual Property

Our Rights

All content provided through Think Shift Lead™—including courses, frameworks, templates, videos, written materials, and the DANCE System™ methodology—is protected by copyright and trademark law. Think Shift Lead™ and Whitney Stout retain all ownership rights.

The DANCE System™ is a trademark of Think Shift Lead™. You may not use this trademark without express written permission.

Your Limited License

Upon purchase, you receive a limited, non-exclusive, non-transferable license to:

Access and view course materials for your personal professional development
Download templates and materials for your individual use
Implement frameworks and methodologies in your own work

You may NOT:

Redistribute, resell, or share course materials with others
Copy, reproduce, or create derivative works without permission
Publicly display or perform course content
Remove copyright notices or attributions from materials
Use materials to create competing educational products
Share login credentials or allow others to access your account

Fair Use

You may reference concepts from our courses in your professional work, provided you do not reproduce substantial portions of our proprietary materials or claim our frameworks as your own creation.

Purchases and Payments

Pricing

All prices are listed in U.S. Dollars (USD). We reserve the right to change pricing at any time, though price changes will not affect purchases already completed.

Payment Processing

Payments are processed through Stripe or PayPal. By making a purchase, you agree to their respective terms of service. We do not store your payment information directly.

Taxes

You are responsible for any applicable taxes, including VAT or sales tax, in your jurisdiction. Our payment processors may collect tax information as required by law.

Refund Policy

We offer a 5-day money-back guarantee on all course purchases.

To request a refund:

Provide your order number and reason for refund
We will process your refund within 5-7 business days

After the 5-day window, all sales are final. Refunds are issued to the original payment method.

Please note: Our courses are self-directed with no ongoing support, coaching, or Q&A. If you require personalized guidance or implementation support, our courses may not be the right fit. We encourage you to carefully review course descriptions before purchasing.

Refund Restrictions

We reserve the right to deny refunds if:

You have accessed a substantial portion of the course content
You are requesting multiple refunds across different products (indicating potential abuse)
You violate these Terms of Service

User Conduct

You agree to use our website and services lawfully and responsibly. Prohibited conduct includes:

Using our services for any illegal purpose
Attempting to gain unauthorized access to our systems
Transmitting viruses, malware, or harmful code
Impersonating Think Shift Lead™, Whitney Stout, or any other person
Harassing, threatening, or abusing our staff or other users
Scraping or harvesting data from our website without permission
Using automated bots or scripts to access our services

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We specifically disclaim:

Warranties of merchantability or fitness for a particular purpose
Warranties regarding results, outcomes, or success from using our products
Warranties of uninterrupted or error-free service
Warranties regarding third-party tools or platforms referenced in our courses

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

Think Shift Lead™ and Whitney Stout shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from:

Your use or inability to use our services
Implementation of frameworks or methodologies taught in courses
Decisions made based on course content
Third-party service interruptions or failures
Loss of data, profits, or business opportunities

Our total liability for any claim shall not exceed the amount you paid for the specific product in question.

Some jurisdictions do not allow limitation of liability for certain damages, so some limitations may not apply to you.

Indemnification

You agree to indemnify and hold harmless Think Shift Lead™ and Whitney Stout from any claims, damages, losses, or expenses (including legal fees) arising from:

Your violation of these Terms
Your use of our services
Your violation of any third-party rights
Any content you submit through our services

Dispute Resolution and Governing Law

Governing Law

These Terms are governed by the laws of the State of West Virginia, without regard to conflict of law principles.

Arbitration

Any dispute arising from these Terms or your use of our services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, rather than in court.

Arbitration will take place in West Virginia or remotely via videoconference. You and Think Shift Lead™ agree to arbitrate disputes on an individual basis only—no class actions or representative proceedings.

Exception for Small Claims

Either party may bring a claim in small claims court in West Virginia if the claim qualifies for small claims jurisdiction.

Waiver of Jury Trial

You and Think Shift Lead™ waive any right to a jury trial for disputes arising from these Terms.

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website with an updated "Last Updated" date.

Material changes will be communicated via email to active customers. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

If you do not agree to the modified Terms, discontinue use of our services and contact us regarding refund eligibility.

Termination

We may terminate or suspend your access to our services immediately, without notice, for:

Violation of these Terms
Fraudulent activity or chargebacks
Abuse of refund policies
Any conduct we deem harmful to our business or other users

Upon termination:

Your license to access course materials is revoked
You must cease using all downloaded materials
Refund eligibility depends on circumstances of termination

Provisions regarding intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.

Entire Agreement

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and Think Shift Lead™ regarding your use of our services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
